Terms of Service

1. Platform Description

NaijaRent is an online marketplace that connects persons seeking to rent, buy or sell residential property, commercial property and land in Nigeria ("Seekers") with landlords, property owners, land sellers and registered real estate agencies ("Listers"). NaijaRent is a technology platform only. We are not a party to any property transaction, tenancy agreement, purchase agreement or land sale conducted through or facilitated by the Platform. We do not own, manage, lease, sell or insure any property listed on the Platform.

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age.
• Have full legal capacity to enter into binding contracts under Nigerian law.
• Not be under any court order, government directive or other legal restriction that prohibits your use of the Platform.
• Provide accurate, current and complete information during registration and at all times thereafter.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@naijarent.net of any unauthorised use of your account. NaijaRent shall not be liable for any loss arising from your failure to keep your credentials secure.

4. Property Listings

4.1 Lister Obligations

By submitting a listing, you represent and warrant that:

• You are the lawful owner or authorised agent of the property or land described in the listing.
• For land listings, any interest in land complies with the Land Use Act, Cap L5, Laws of the Federation of Nigeria 2004, including the requirement for applicable state governor consent for alienation of statutory right of occupancy.
• All information in the listing — including title, description, photographs, price and location — is accurate, truthful and not misleading.
• The property or land is not subject to any unresolved dispute, government acquisition, court order or encumbrance that would prevent lawful transfer or occupation.
• You hold all necessary approvals, including where applicable: Certificate of Occupancy (C of O), Deed of Assignment, Governor's Consent, Building Approval or Survey Plan.
• You will not list the same property simultaneously under multiple conflicting terms (e.g., listed for both sale and exclusive tenancy without disclosure).

4.2 Platform Review

NaijaRent reserves the right to review, approve, reject, suspend or remove any listing that violates these Terms, applicable law, or our community guidelines, without prior notice and without liability to the Lister. Listings are placed in "pending" status and go live only after review by our moderation team.

5. Prohibited Conduct

You must not use the Platform to:

• Post false, fraudulent, misleading or deceptive property listings.
• Facilitate land banking fraud, property scams or advance-fee fraud ("419") of any kind.
• List properties or land to which you have no legal right or authority.
• Collect payments from Seekers outside the Platform for properties that do not exist or that you have no authority to let/sell.
• Harass, threaten or abuse other users via the messaging system.
• Circumvent the Platform to avoid fees or verification processes.
• Upload malware, viruses or any code designed to disrupt the Platform.
• Use the Platform in any manner that violates the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, the Economic and Financial Crimes Commission (Establishment) Act 2004, or any other applicable Nigerian law.
• Violate the Federal Competition and Consumer Protection Act (FCCPA) 2018 including by engaging in misleading advertising or unfair commercial practices.

Violations may result in immediate account suspension, removal of listings, reporting to relevant authorities (including the EFCC and Nigeria Police Force) and/or civil or criminal proceedings.

6. Fees and Subscriptions

Basic listing on NaijaRent is currently free. Premium features (including featured listings, agency subscription tiers and enhanced visibility) are subject to fees as published on the Platform from time to time. All fees are quoted in Nigerian Naira (₦) and are inclusive of applicable Value Added Tax (VAT) at the rate prescribed under the Value Added Tax Act (as amended). Fees paid are non-refundable except where NaijaRent has materially failed to deliver the paid service.

7. No Transaction Guarantee

NaijaRent makes no guarantee that any property transaction facilitated through the Platform will be completed successfully. We strongly advise all Seekers to:

• Conduct independent due diligence on any property or land before paying any deposit or purchase price.
• Engage a qualified Nigerian lawyer to review title documents and any agreement of sale or tenancy.
• Verify land titles with the relevant state Land Registry.
• Never pay any money to a Lister without a signed, witnessed agreement and verification of the Lister's identity and authority.

NaijaRent shall not be liable for any loss — financial or otherwise — suffered by any User as a result of a transaction arranged through the Platform.

8. Intellectual Property

All content on the Platform — including the NaijaRent brand, logo, software, design, text and original images — is owned by Kordex Solutions Limited (trading as NaijaRent) and protected under Nigerian copyright law (Copyright Act, Cap C28, LFN 2004 as amended by the Copyright Act 2022). The "NaijaRent" name and device are a registered trademark of Kordex Solutions Limited (Trademark File No: NG/TM/O/2026/429258, Class 42). You may not reproduce, distribute or create derivative works from our content without prior written consent.

By uploading listing content (photos, descriptions, documents), you grant NaijaRent a non-exclusive, royalty-free, worldwide licence to display and reproduce that content on the Platform for the purpose of showing the listing to prospective buyers and tenants.

9. Limitation of Liability

To the fullest extent permitted by Nigerian law, NaijaRent and its directors, officers, employees and agents shall not be liable for:

• Any direct, indirect, incidental, consequential or punitive loss arising from your use of or inability to use the Platform.
• Any inaccuracy, error or omission in any listing posted by a Lister.
• Any fraudulent activity by any Lister or Seeker on the Platform.
• Any property transaction dispute between Users.
• Loss of data, loss of profit or business interruption.

Where liability cannot be excluded at law, our total aggregate liability to you shall not exceed the fees you paid to NaijaRent in the 3 months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify, defend and hold harmless Kordex Solutions Limited (trading as NaijaRent), its affiliates, directors, officers and employees from any claims, losses, liabilities, damages and costs (including legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable Nigerian law; (c) any property listing you post on the Platform; or (d) any dispute between you and another User.

11. Termination

NaijaRent may suspend or terminate your account at any time with or without notice if you breach these Terms, violate applicable law, or if we reasonably suspect fraudulent or harmful activity. Upon termination, your right to access the Platform ceases immediately. Clauses that by their nature survive termination (including Clauses 7, 8, 9, 10 and 13) shall continue in full force.

12. Dispute Resolution

Any dispute arising from or in connection with these Terms shall first be referred to mediation administered by a mutually agreed mediator in Abuja, Nigeria. If mediation fails within 30 days, the dispute shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004 (or the Arbitration Act 2023 upon its commencement), with the seat of arbitration in Abuja, Nigeria, and proceedings conducted in English. Nothing in this clause prevents either party from seeking urgent injunctive relief from a Nigerian court.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Subject to Clause 12, you submit to the exclusive jurisdiction of the Federal High Court of Nigeria or the High Court of the FCT, Abuja (at NaijaRent's election) for the resolution of any dispute not referred to arbitration.

14. Amendments

We may amend these Terms at any time. Where amendments are material, we will provide at least 14 days' notice by email or prominent platform notice before the changes take effect. Continued use of the Platform after the effective date of the amended Terms constitutes your acceptance.

15. Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms applicable to specific services, constitute the entire agreement between you and NaijaRent and supersede all prior agreements, representations or understandings, whether oral or written.
